SPECIFIC TERMS AND CONDITIONS APPLICABLE TO CONTRACTORS WHICH ARE
NOT CONNECTICUT STATE AGENCIES
1. The Contractor hereby agrees that it shall indemnify and shall
defend and hold harmless the State of Connecticut, the University,
the Connecticut State University System and its Board of Trustees,
and their agents, officers and employees, from and against any and
all suits, actions, legal or administrative proceedings, claims,
demands, damages, liabilities, monetary loss, interest, attorney’s
fees, costs and expenses of whatsoever kind or nature arising out of
the performance of this Agreement, including those arising out of
injury to or death of the Contractor’s employees or subcontractors,
whether arising before, during or after completion of the services
hereunder and in any manner directly or indirectly caused,
occasioned or contributed to in whole or in part, by reason of any
act, omission, fault or negligence of the Contractor or its
employees, agents or subcontractors.
2. The Contractor shall provide the University a certificate of
insurance, from its insurance provider, thirty (30) days prior to
the Event, which states that the Contractor is insured for the
period of time covered by this Agreement with minimum Commercial
General Liability coverage established at: $1,000,000 combined
single limit per occurrence for bodily injury, personal injury and
property damage, and $2,000,000 aggregate. Said certificate of
insurance shall indicate the specific dates covered by this
Agreement and reference the Event and the reservation number set
forth in Section I of this Agreement. Further, said certificate of
insurance shall indicate that the State of Connecticut, the
University, the Connecticut State University System and its Board of
Trustees and their agents, officers and employees, are named as
additional insured with no limitations on the scope of protection
afforded to these entities. The Contractor shall assume any and all
deductibles in the described insurance policies. The Contractor’s
insurer shall have no right of recovery or subrogation against the
State of Connecticut, the University and/or those herein described
as additional insured. The required insurance policy shall not be
suspended, voided, cancelled or reduced except after thirty (30)
days’ prior written notice sent by certified mail to the
University’s Event Management Office. The certificate of insurance
shall require a minimum thirty (30) days’ notice to the University
in the event of cancellation or non-renewal of coverage.
3. If the Contractor claims to be a nonprofit agency, it must
provide a copy of the appropriate official state or federal
certification of that status, thirty (30) days prior to the Event.
Failure to provide such certification will result in appropriate
changes in Event pricing or cancellation of the reservation. Any
documentation and/or certification provided for substantiation that
an organization is a nonprofit agency under Connecticut state law
shall only constitute verification of eligibility for nonprofit
facility use rates, and shall not cover any exemption for
Connecticut state sales tax for food purchases related to the Event.
Criteria and documentation required for such exemptions are listed,
in detail, in Section V of this Agreement.
